Terms of Service for Yalla Dance Ltd.

These Comprehensive Terms of Service ("ToS") govern your relationship with Yalla Dance Ltd, including your use of our Website, and the specific terms for all services we provide:

 

  • Dance classes,

  • Participation in productions, 

  • Booking professional performances,

  • Purchasing audience tickets.

 

1. General Terms and Acceptance

  • Acceptance: By booking, purchasing, registering for, or participating in any service provided by Yalla Dance Ltd, you agree to be bound by these Terms of Service.

  • About Us: The services are provided by Yalla Dance Ltd, a company registered in Ireland (Company No: 802882). "We," "us," and "our" refer to Yalla Dance Ltd.

  • Relationship to Other Policies: These ToS incorporate by reference our separate policies:

    • Website Terms & Conditions: Govern your general use of the website platform.

    • Privacy Policy: Governs how we collect and process your personal data in compliance with GDPR.

    • Cookie Policy: Governs the use of tracking technologies on our website.

  • Updates: We reserve the right to modify these Terms. The "Last Updated" date will indicate changes. Your continued use of services after any updates constitutes acceptance of the new Terms.

 

2. Definitions of Services and Parties

  • The Company/We: Yalla Dance Ltd.

  • Client: A party (individual or entity) that hires Yalla Dance Ltd for professional services, typically under Section 7.

  • Student/Course Member: An individual booking and attending classes or courses under Section 5.

  • Participant: A student or guest artist involved in a production, covered under Section 6.

  • Audience Member/Ticket Holder: An individual purchasing a ticket for a production, covered under Section 8.

  • Service: Any class, course, performance, workshop, or production activity provided by the Company.

 

3. General Financial and Payment Terms

  • Currency and VAT: All prices are quoted in Euro (€) and include VAT where applicable.

  • Payment Methods: We accept payment via secure methods (Wix Payments, card processors). You agree to pay all charges incurred by you or any users of your credit card, debit card, or other payment method at the prices in effect when such charges are incurred.

  • Price Changes: Prices are subject to change without notice, except for services or tickets already confirmed and paid for.

 

4. General Intellectual Property and Media Rights

  • Company IP: All choreography, training methods, logos, trademarks, website design, and teaching materials are the exclusive property of Yalla Dance Ltd and protected by copyright.

  • Recording/Photography: Unless explicitly permitted, unauthorized photography or video/audio recording of classes, rehearsals, or performances is strictly prohibited.

  • Media Release (General): By participating in or attending our services, you acknowledge that we may take photographs or video recordings for marketing, promotional, and archival purposes. If you do not wish to be included, you must notify us in writing before the service commences. (Specific media terms apply to Participants under Section 8).

 

5. Service-Specific Terms: Classes and Courses

These terms apply to individuals booking dance classes, workshops, or multi-session courses.

  • Registration and Attendance:

    • Bookings must be made online in advance unless otherwise agreed.

    • You are responsible for arriving on time. Late entry may be refused for safety reasons.

    • Attendance in classes is not guaranteed until full payment is received.

  • Course Commitment:

    • By booking a course, you are committing to attend the full course duration. Courses run with defined start and end dates, and missed classes are non-refundable and cannot be carried forward as credit.

  • Health and Safety:

    • You must inform the instructor of any relevant pre-existing injuries, medical conditions, or pregnancy before the class begins.

    • You participate in all physical activity at your own risk. We accept no liability for injury or loss caused by your failure to follow instruction or disregard for your own physical limits.

  • Cancellations and Refunds (Student):

    • Courses/Multi-Session Bookings: Deposits or full course fees are generally non-refundable once the course has started. If cancellation is made more than 7 days prior to the start date, a refund (minus any administrative fee) may be issued.

    • Single Classes/Workshops: Cancellations made with less than 48 hours notice are generally non-refundable and non-transferable.

  • Cancellations (Company):

    • If a class is cancelled by Yalla Dance Ltd due to unforeseen circumstances, you will be offered a full refund or the option to transfer your booking to an alternative date/class.

 

6. Service-Specific Terms: Participant in Theater Production

These terms apply to individuals (students or guest artists) involved in rehearsals and performances of a production created or managed by Yalla Dance Ltd.

  • Commitment and Rehearsals:

    • Participants agree to commit to the rehearsal schedule outlined by the Company. Excessive unexcused absences may result in removal from the production without refund of participation fees.

    • Participants must comply with the artistic direction and decisions of the Choreographer/Director.

  • Choreography and Intellectual Property:

    • All choreography created by the Company for the production remains the sole intellectual property of Yalla Dance Ltd.

    • Participants may not teach, reproduce, or perform the choreography outside of the Company's activities without written permission.

  • Media Release (Production Specific):

    • Participants grant the Company the irrevocable right to film, photograph, record, and use their likeness, voice, and performance in connection with the production for promotional, archival, or commercial purposes globally and in perpetuity.

    • If a Participant is under 18, a parent or guardian must sign a separate media release form.

  • Safety and Risk: Participants acknowledge the physical risks inherent in theatrical performance and assume responsibility for warming up and cooling down adequately.

 

7. Service-Specific Terms: Event & Performance Booking

These terms apply to the hiring of Yalla Dance Ltd dancers, entertainment, or services for external events (e.g., weddings, corporate events).

  • Contract and Scope of Work:

    • A formal written agreement (Booking Contract) detailing the date, time, venue, fees, and specific performance requirements will be issued and must be signed by the Client. These ToS are incorporated into that contract.

  • Deposit and Payment:

    • A non-refundable deposit (typically 50%) is required to secure the booking. The booking is not confirmed until the deposit is received.

    • The remaining balance is due on a date specified in the Booking Contract, typically a minimum of 7 days before the event.

  • Client Cancellation:

    • If the Client cancels the booking, the non-refundable deposit is forfeited.

    • If the Client cancels less than 7 days before the event, the full contracted fee remains payable.

  • Company Cancellation (Force Majeure):

    • If the Company must cancel due to illness or force majeure (see Section 11), we will make every effort to provide a suitable replacement artist or offer a full refund of all monies paid.

  • Logistics and Rider: The Client is responsible for ensuring the venue meets all logistical requirements, including adequate performance space, secure changing areas, and compliance with any agreed-upon technical rider (e.g., sound system access).

 

8. Service-Specific Terms: Audience on Theater Production

These terms apply to individuals purchasing and holding tickets for a production or event produced by Yalla Dance Ltd.

  • Ticket Sales are Final:

    • All ticket sales are final. Tickets are non-refundable unless the performance is officially cancelled or materially altered by the Company.

    • Tickets may not be exchanged or transferred unless otherwise permitted by the Company (e.g., through an official re-sale partner).

  • Performance Cancellation:

    • If a performance is officially cancelled, Audience Members will be offered a full refund of the ticket price or an exchange for an alternative performance date. Booking fees may be non-refundable.

  • Venue Rules and Conduct:

    • Audience Members must comply with all venue rules, safety announcements, and instructions from staff.

    • The Company and venue management reserve the right to refuse admission or remove any person acting in a disruptive, offensive, or unsafe manner, without refund.

  • Latecomers: Latecomers may not be admitted until a suitable break in the performance, or not at all, at the discretion of the Company and venue manager. No refunds will be given for late arrival.

  • Recording: Unless explicitly permitted, unauthorised recording, photography, or audio capture during the performance is strictly prohibited.

 

9. Liability and Disclaimer

  • Physical Activity Risk: You understand that physical activities (classes, courses, participation) inherently involve a risk of injury, and you voluntarily assume this risk.

  • Limitation of Liability (General): To the fullest extent permitted by Irish law:

    • We shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of any Service.

    • Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

  • Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including, but not limited to: natural disasters, government restrictions, pandemic-related closures, or utility failures.

  • Exceptions: Nothing in these Terms limits or excludes liability for: death or personal injury caused by our proven negligence, or any liability that cannot be excluded under Irish consumer law.

 

10. Governing Law and Jurisdiction

  • Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Ireland.

  • Jurisdiction: The Irish courts shall have exclusive jurisdiction over any disputes, although we reserve the right to seek legal remedies in other relevant jurisdictions.
